Please read these Terms of Service (“Terms”) carefully before using GuardWell Compliance (“Service”), operated by GuardWell Compliance LLC (“Company,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using GuardWell Compliance, you represent that you are authorized to enter into this agreement on behalf of your practice or organization and that you agree to these Terms. If you do not agree, do not use the Service.
2. Description of Service
GuardWell Compliance is a cloud-based compliance management platform designed to help medical practices track, manage, and document compliance with federal and state healthcare regulations including HIPAA, OSHA, OIG, CMS/Medicare, MACRA/MIPS, DEA, CLIA, TCPA, and applicable state laws. The Service includes a compliance dashboard, staff training LMS, policy library, risk assessment tools, and related features.
3. Not Legal or Regulatory Advice
GuardWell Compliance is a software tool and does not provide legal, regulatory, or professional compliance advice. The content, checklists, templates, and training materials provided are for informational and organizational purposes only. You should consult a qualified healthcare attorney or compliance consultant for advice specific to your practice.
Use of the Service does not guarantee regulatory compliance. GuardWell Compliance makes no warranties that use of the platform will satisfy any specific regulatory requirement or prevent regulatory action.
4. Subscriptions and Billing
The Service is offered on a subscription basis. By selecting a subscription plan, you authorize us to charge your payment method on a monthly or annual basis. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.
- Subscriptions renew automatically unless cancelled before the renewal date.
- You may cancel at any time through your account settings or by contacting support.
- Cancellation takes effect at the end of the current billing period.
- We reserve the right to modify pricing with 30 days' written notice.
- Subscriptions are billed monthly. You may cancel at any time from your billing dashboard.
5. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Ensuring that all users added to your account comply with these Terms.
- Providing accurate and complete information during registration.
- Notifying us immediately of any unauthorized access to your account.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms.
- Attempt to gain unauthorized access to any part of the Service or its systems.
- Upload or transmit actual patient health information (PHI) into the Service unless covered by a separate Business Associate Agreement (BAA) with us.
- Resell, sublicense, or otherwise commercialize access to the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
7. HIPAA and Protected Health Information
GuardWell Compliance is a compliance management tool. The Service is designed to help you document your compliance program, not to store, process, or transmit patient protected health information (PHI). You should not enter actual patient names, dates of birth, medical record numbers, or other PHI into the Service unless you have executed a separate Business Associate Agreement (BAA) with us.
If your use of the Service requires a BAA, you can review and accept our standard BAA at app.gwcomp.com/settings/baa. For questions about our BAA, contact us at support@gwcomp.com.
8. Intellectual Property
The Service and its original content, features, and functionality are owned by GuardWell Compliance LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
Policy templates, training course content, and other materials provided in the Service are licensed to you for use within your practice only and may not be redistributed.
9. AI-Generated Content
The Service uses artificial intelligence to generate training courses, policy suggestions, and compliance guidance. AI-generated content is provided as a starting point only. You are responsible for reviewing all AI-generated content for accuracy, appropriateness, and compliance with applicable regulations before use. We do not warrant the accuracy or completeness of AI-generated content.
10. Disclaimers and Limitation of Liability
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by law, GuardWell Compliance LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.
Our total liability to you for all claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless GuardWell Compliance LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
We may suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may export your compliance data before termination by contacting support.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least 14 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
